Ladeda Terms and Conditions

1. About these terms

These terms apply to all work I do for you. I'm Leah White, trading as Ladeda, and I provide graphic and web design services. By accepting a proposal or paying a deposit, you agree to these terms. If anything in your accepted proposal differs from these terms, the proposal wins.

2. Services and scope

Your proposal sets out exactly what's included. That might be logo design, branding, print design, web design or website development.

If you'd like something extra during the project, just ask. I'll either quote for it or charge my hourly rate (see clause 4). If you have any special software needs, please mention them before you accept the proposal.

3. Proposals and quotes

Proposals and quotes are valid for 30 days from the date they're issued. After that, I may withdraw the proposal or revise the price, scope or timeline before work goes ahead. Any revised proposal will be sent to you in writing, and only prices in an accepted proposal are binding.

4. Payment

Deposit.
I'll send your first invoice when you give me the go-ahead. A 50% non-refundable deposit is required before work starts. If you'd like to pay the full amount upfront, I'll take 5% off as a thank you.

Progress and final invoices.
I'll send progress invoices at agreed milestones and a final invoice when the project is complete, unless your proposal says otherwise. Invoices are due within 21 days.

Late payment.
If an invoice is overdue, I may pause work until it's paid, and timelines will move to suit. I may also recover reasonable debt collection costs.

Hourly rate.
My hourly rate is $120 + GST. It applies to any work outside the agreed scope, extra revisions, and extra time caused by delays (see clause 5).

Online payments.
I use Stripe to process online payments. When you pay through Stripe, its terms of service and privacy policy also apply. A card surcharge may apply to cover processing fees, and it will be shown clearly before you pay. Stripe uses industry-standard security to protect your card details, but I can't be held responsible for unauthorised access to your card details that's outside my control.

Payment questions.
If something on an invoice doesn't look right, please let me know promptly and I'll sort it out fairly and quickly.

5. Your part: content, feedback and timelines

What I need from you.
To keep your project on track, I need your content, photos, approvals and feedback on time, and for you to attend our scheduled meetings.

Feedback.
Unless otherwise agreed, please give feedback within 5 business days of each request.

Delays.
Project timelines depend on hearing back from you on time. If feedback, approvals or materials arrive late, the timeline will be adjusted. Because I schedule work for several clients, your project may resume at the next available opening in my schedule. That could push the final delivery date out by more than the length of the delay itself. I'm not responsible for missed deadlines caused by late feedback, approvals or materials. If a delay means extra work for me, I may charge my hourly rate for it, and I'll always let you know first.

Paused projects.
If a project is on hold for more than 30 days because I'm waiting on you, I may treat it as paused. Restarting will depend on my availability, and any invoices for work completed so far will become due. Website hosting costs may also apply (see clause 8).

Final approval.
If I haven't heard from you within 10 business days of delivering the final work, the project will be treated as approved and the final invoice will be due.

Your materials.
You confirm that you own, or have permission to use, all content you supply, such as text, photos, logos and fonts. If anyone makes a claim that your materials infringe their rights, you agree to cover any costs that result.

Revisions.
Your proposal sets out how many rounds of revisions are included. Extra revisions are charged at my hourly rate

6. Cancellation

Either of us can end the project by giving written notice. I understand that life happens.

If the project is cancelled, the 50% deposit is non-refundable. If the work completed up to the cancellation date is worth more than the deposit, you'll be invoiced for the difference.

7. Ownership, sharing and final files

Ownership.
I own all designs and files until the project is paid in full. Once it's paid, ownership of the final approved designs passes to you. Concepts and drafts you didn't choose stay with me. Third-party items, such as fonts, stock images and plugins, remain under their own licences.

Sharing your project.
I love to celebrate our work together, so I may show your finished project on my website and social media, with an image and a link. If you'd rather keep it private, just let me know at the start and I'll respect that.

Checking final files.
Before anything goes to print or files are finalised, please check everything carefully. I'll do my best to catch mistakes, but I'm only human. Once you give final approval, you're responsible for any errors or costs that come up afterwards.

Colour accuracy.
Colours in digital proofs, brand guidelines, mockups and on-screen presentations are approximate. Printed colours vary with the screen, printer, paper or material, ink and print process, so I can't guarantee an exact match between on-screen colour (RGB/hex) and printed colour (CMYK/spot). CMYK values in a colour palette or brand guideline are a starting reference only, not calibrated to a specific printer. Please ask your printer for a physical proof and confirm CMYK values against their colour profile before any final print run. I'm not responsible for colour variation caused by uncalibrated devices, third-party printers or material choice.

File storage.
I keep project files for 12 months after a project is finished. After that, I can't guarantee they'll still be available, so please keep your own copies of your final files.

8. Websites

Hosting.
If your website isn't live two months after I start because of delays on your side, you'll need to pay the hosting fees directly to Rocketspark from that point.

SEO and Google.
I'll set up basic SEO for your site, but I can't guarantee Google rankings or how quickly results appear. If you need fast results, a Google Ads or SEO specialist is the best option, and I'm happy to recommend someone.

Third-party software.
Where it helps your website work better, I may recommend or set up trusted third-party software, plugins or integrations. I'll always discuss these with you first. Ongoing costs such as subscriptions, licences and upgrades are your responsibility unless we agree otherwise in writing. I'll always aim to recommend reliable, cost-effective options and avoid unnecessary tools.

Accounts and access.
Your domain name, Rocketspark account and any third-party accounts for your website should be in your name. If I set any of these up for you, I'll hand over access once the project is paid in full.

Your website content.
You're responsible for what your website says and for making sure it complies with the law. That includes your own privacy policy, terms of trade, product claims and pricing.

After launch.
If you report bugs or errors in my work within 14 days of your website going live, I'll fix them at no extra cost. After that, updates, changes and support are charged at my hourly rate, unless we've agreed a separate support plan.

9. AI and digital tools

I use AI-assisted and digital tools to work efficiently and accurately. These help with tasks like research, drafting content and organising projects.

I may also use AI note-taking tools, such as transcription or summary software, during online meetings and calls. These are only used internally to record key project details, decisions and deadlines. If you'd prefer meetings not to be recorded or transcribed, just let me know beforehand and I'll respect that.

10. Confidentiality

We both agree to keep confidential any private or sensitive information shared during the project. This includes business plans, trade secrets and client information. This doesn't stop me showing finished work as described in clause 7.

11. Liability and consumer law

I'm not liable for any indirect or consequential loss, such as lost profits or lost business, connected with my services. My total liability for any claim is limited to the fees you've paid for the project.

If you're engaging me for business purposes, we agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, to the extent the law allows. We both agree this is fair and reasonable.

12. Governing law

These terms are governed by New Zealand law, and any disputes will be handled by the New Zealand courts.

13. General

Notices.
Email counts as written notice under these terms.

If I'm unavailable.
If I'm unwell or something outside my control stops me working, I'll let you know as soon as I can, and project timelines will be adjusted without penalty.

Subcontractors.
I may occasionally bring in another trusted designer or developer to help with your project. If I do, I remain responsible for the work and for keeping your information confidential.

Changes to these terms.
I may update these terms from time to time. The version in place when you accept your proposal applies to your project.
